Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and Pingly App Limited ("Pingly", "we", "us"), a company registered in Cyprus (registration number ΗΕ 446708, registered address EDEN BEACH APARTMENTS, BLOCK 4, Office 112, 3035 Limassol, Cyprus). By creating an account, downloading the app, or otherwise using the Pingly mobile application and the pingly.info website (together, the "Service"), you agree to these Terms. If you do not agree, please do not use the Service.

2. The Service

Pingly is a personal, AI-powered information hub. It lets you connect accounts such as Gmail and Outlook, brings your calendar, mail, notes, and tasks into one place, and lets you follow Topics and Keywords so Pingly can summarize relevant public news and information for you. 3. Eligibility

You must be at least 16 years old to use the Service. Pingly is not directed at children under 16, and by using the Service you confirm that you meet this requirement.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please notify us at anna@pingly.info if you suspect any unauthorized use of your account.

5. Subscriptions, free trial, and billing

Pingly offers a one-month free trial. After the trial, continued access to Premium features requires an active paid subscription.

• Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
• You can upgrade, downgrade, or cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
• Payments are processed by trusted third-party payment providers. Pingly does not store your full payment card details.
• Except where required by law, fees already paid are non-refundable.

6. Connecting third-party accounts

When you connect a third-party account (such as Gmail or Outlook) via OAuth, you authorize Pingly to access the specific data scopes needed to provide the Service, as described in our Privacy Policy. You can revoke this access at any time, either within Pingly or directly through the third-party provider's own account settings. Pingly is not responsible for the availability, security, or content of third-party services.

7. AI features

Pingly uses artificial intelligence to summarize messages, organize tasks, monitor your chosen Topics and Keywords, and power conversational "AI threads". You acknowledge that:

• AI-generated summaries, suggestions, and responses may occasionally be inaccurate or incomplete, and should not be relied upon as the sole basis for important decisions.
• Pingly does not provide legal, financial, medical, or other professional advice through its AI features.
• You are responsible for reviewing AI-generated content before acting on it, particularly for anything sent on your behalf (such as suggested email replies).

8. Acceptable use

When using the Service, you agree not to:

• Use the Service for any unlawful purpose, or in a way that infringes the rights of others.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Reverse-engineer, scrape, or interfere with the normal operation of the Service.
• Use the Service to transmit spam, malware, or other harmful content.

We may suspend or terminate accounts that violate this section.

9. Intellectual property

The Service, including its design, branding, software, and content created by Pingly (excluding your own content and data), is owned by Pingly App Limited and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written permission.

10. Your content

You retain ownership of the content and data you provide to Pingly (such as notes, tasks, and Topics/Keywords). You grant Pingly a limited license to process this content solely for the purpose of providing and improving the Service to you, in line with our Privacy Policy.

11. Disclaimer of warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Pingly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or fully secure.

12. Limitation of liability

To the fullest extent permitted by applicable law, Pingly App Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, profits, or business opportunities. Nothing in these Terms limits liability that cannot be excluded under applicable law.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, or if required to do so by law. Upon termination, your data will be handled in accordance with our Privacy Policy.

14. Changes to the Service or these Terms

We may update the Service or these Terms from time to time. Material changes to these Terms will be notified in-app or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of Cyprus and applicable European Union law, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Cyprus, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
